The new owner of the Kewaunee Power Station will seek license approval to operate the nuclear plant for another 28 years or longer, David Christian, senior vice president and chief nuclear officer of Dominion Resources Inc., said Tuesday. Christian spoke during a ceremony at the plant marking its sale by Wisconsin Public Service Corp. of Green Bay and Wisconsin Power & Light/Alliant Energy of Madison to Richmond, Va.-based Dominion. The sale was completed July 5. Wisconsin Public Service Corp. received $113 million in cash and Wisconsin Power & Light received $78.5 million. Wisconsin Public Service owned 59 percent of the plant, and Wisconsin Power & Light owned 41 percent. The deal was announced in November 2003 with the belief it would be completed the following summer. Regulatory and maintenance problems created delays. The plant was shut down from February through June this year for repairs. "You did absolutely the right thing," Charlie Schrock, president of generation for Wisconsin Public Service, said of the shutdown, which cost the company about $17 million off the initially agreed-upon sales price.

Among the plant's 550 employees are 150 members of Local 310 of the International Union of Operating Engineers. Union members at Kewaunee remained employees of Wisconsin Public Service until they joined Dominion after the sale. Kelly Gretz, chapter chairman, said union members spoke with representatives of several companies that contemplated buying the plant and those from Dominion made the best impression. So far, he said, they've been a good fit. "The union is comfortable with the direction Dominion is going to take us," said Darin Jeanquart, chapter secretary. Gretz said the union's contract expires in November 2006, though state law says that in cases of a buyout the new owner is required to honor the existing contract for 30 months.

Gaffney was director-nuclear safety & licensing at Dominion's Surry Power Station in Virginia. He received a bachelor's degree in mathematics from the U.S. Naval Academy and served 26 years in the Navy.

The plant will be known as the Kewaunee Power Station. It produces 568 megawatts of electricity, enough to provide power to about 142,000 homes. The plant's previous owners have contracted with Dominion to buy all of the plant's electricity output.

The deal originally called for Dominion to pay $220 million for the plant, but the final price tag came in at $191.5 million. The final sale price dropped from when the deal was first announced in November 2003 mainly because of two outages amounting to five months of lost service between Nov. 14 and July 2, said Alliant spokeswoman Janice Mathis. The state Public Service Commission will decide what the financial impact will be on ratepayers when it reviews final terms of the deal, said commission spokeswoman Linda Barth. The original deal called for $193 million collected from consumers to some day decommission the plant to go back to ratepayers. But WPS has now asked the PSC to consider using some of the money to pay for any losses associated with the deal. Charlie Schrock, WPS president of generation, said the money for consumers will mitigate future rate increases. He said ratepayers would still win out despite the lower final price. "It's hard to argue that the sale is not in the public interest."

But the Citizens Utility Board, which lobbies on behalf of consumers for affordable, reliable energy, said the latest news represented yet another broken promise associated with the sale. CUB and other groups have filed a lawsuit in Dane County Circuit Court seeking to overturn the sale. "If this sale isn't overthrown by the courts, WPS and WP&L will have signed over Wisconsin's nuclear future to an out-of-state corporation that will run Kewaunee for profit, rather than to preserve the reliability of Wisconsin's electric system or to provide power at state regulated rates," CUB executive director Charlie Higley said in a statement.

Dominion paid $191.5 million for the plant, less than the agreed upon price of $220 million because of a costly four-month shutdown that ended Saturday. Customers of the previous owners will get $193 million from one decommissioning fund and any money left after decommissioning (many years from now) from another fund worth $244 million. Through 2013, the two utilities will purchase electricity from the plant at a price comparable to the cost if they still owned it, and they are first in line to negotiate a new deal after 2013.

With the sale, plant workers became Dominion employees. They had been employed by plant manager Nuclear Management Co.

The Citizens Utility Board of Madison and other advocacy groups filed a lawsuit in May to block the sale. The suit is pending.

The Kewaunee nuclear power plant, back at full power Monday for the first time in four and a half months, changed hands Tuesday. Dominion Resources, Richmond, Va., bought the 568-megawatt reactor for $191.5 million from Alliant subsidiary Wisconsin Power & Light Co. of Madison, and Wisconsin Public Service Corp., part of WPS Resources Corp. of Green Bay. "We think it's a great asset and we think that the people working there are very professional," said Dominion spokesman Richard Zuercher. Some of the plant's backup systems had to be modified, creating the lengthy outage, Alliant spokeswoman Janice Mathis said. Kewaunee's license expires in 2013. "Our intent is to seek to renew the license for an additional 20 years," Zuercher said. He says Dominion has no plans to build another nuclear reactor at the site in Carlton, nine miles south of Kewaunee.

The sale continues a trend of consolidation in the nuclear industry, with reactors being bought by a handful of energy companies that include Dominion, FPL Group and Exelon Corp. Companies such as Wisconsin Public Service and Madison-based Wisconsin Power & Light Co. say the risks of owning a nuclear plant given the heightened scrutiny of the Nuclear Regulatory Commission and the unpredictability of shutting down aging reactors as reasons for selling the plant.

The sale of the plant was challenged by consumer groups in Wisconsin that claimed it wasn't in the public interest. The groups worry about the precedent being set by a utility selling off a regulated power plant, and they claimed customers who paid for the plant through electric rates will lose out on the chance to reap profits from the sale of low-cost nuclear power into the new wholesale power market. Opponents to the Kewaunee sale said they plan to keep fighting the deal in a lawsuit pending in Dane County Circuit Court that could be decided by early next year. "We think, in the end, that the court will agree with us that the record in the case will show that this surrender of state jurisdiction is not in the public interest," said Dave Benforado, president of the Municipal Electric Utilities of Wisconsin, a group that sued to stop the sale. The state Public Service Commission first rejected the sale as contrary to the public interest and then reversed itself earlier this year and endorsed the deal based on changes proposed by Dominion. Schrock said Tuesday "it's hard to argue that the sale is not in the public interest" given the return of decommissioning funds to customers and "price certainty through 2012 at a cost approximately what the state utilities projected under continued ownership" of Kewaunee. The Wisconsin utilities said the cost of the Kewaunee shutdown that just ended would have been borne by Dominion rather than Wisconsin customers if the deal had closed sooner.

Kewaunee n-plant sale agreement

Kewaunee will be purchased for $220-million, including $36.5-million for fuel on hand, by Dominion. Regulatory approvals for the sale are expected to be obtained by Fall 2004. The 563-MW PWR was equipped with replacement steam generators in 2001 (a hundred-million-dollar investment), and the agreement on purchase price assumes that Kewaunee will go ahead and complete the planned replacement of reactor vessel head (a $23.8-million project). Kewaunee operated at 97% of capacity factor in 2002. The agreement also includes provision that current owners will contract to buy all the Kewaunee power through December 21, 2013, which is when the plant's NRC operating license expires. The prospect of power uprates and 20-year license extension makes this an attractive deal for Dominion. And the ability to drop the risks associated with owning a nuclear plant makes this attractive to the current owners -- Wisconsin Public Service Corp. (59% owner) and Wisconsin Power & Light. Approval of the sale must be obtained from federal agencies (NRC, FERC) and the public utility commissions of states which receive power generated by the plant (Wisconsin, Illinois, Iowa, Michigan, and Minnesota). A decommissioning trust fund will also be transferred along with the sale -- the fund contains $392-million. Another decommissioning trust fund will reportedly revert to the original owners. WPL's press release says that their share of this fund had a pretax value of $74.5 million on Sept. 30, 2003, and is expected to benefit ratepayers

Kewaunee has been one of the plants operated in recent years by Nuclear Management Co. (NMC). The sale will bring NMC back down to operating five plants -- the same number it started with when formed in 2000.

Wisconsin Power & Light is a subsidiary of Alliant Energy Corp., which also holds a 70% ownership stake in the Duane Arnold nuclear plant in Iowa. Alliant spokesperson says the company has no interest in selling Duane Arnold, which is also operated by NMC.

Head replacement scheduled for Fall 2004 outage

Kewaunee will get a new reactor vessel head. NMC contracted with Westinghouse to obtain replacement heads for Kewaunee and both Point Beach units. The design and fabrication of the heads was subcontracted to Mitsubishi Heavy Industries. The replacement outage at Kewaunee is scheduled to begin on September 25, 2004, approximately three weeks after new head is scheduled to be delivered. Here are some of the design features highlighted by NMC:

* Electro-Slag Welded Strip cladding
* Alloy 600 Prohibited
* Use alloy 690 tubing versus alloy 600 tubing
